FUND LAWYER
Our client is looking for an experienced Fund Lawyer for its Luxembourgish branch

ROLE PURPOSE​
​
The Fund Lawyer is responsible to undertake the following activities in relation to Investment Funds or vehicles allocated to her/him:

Provide Legal Support and advice in relation to the funds, ensuring appropriate support to product development and management;

Responsible for Company Secretary and corporate records of the funds;

Provide solution driven legal input and advice;
-
Monitor applicable regulatory changes and provide effective proposals to address such changes;
-
Act as primary liaison with internal and external legal counsels, regulators, service providers and other internal groups on legal related issues.
ACCOUNTABILITIES & DELIVERABLES
Key Responsibilities
-
Drafting and negotiation of legal documentation (including prospectus, articles of incorporation and fund related agreements, supplier agreements etc.) for the funds
-
Organization and record keeping of Board Meetings of Management Companies, Funds and underlying companies and of AGMs and EGMs or investors’ meetings of Management companies and Funds
-
UCITS and AIFs cross-border registration:
- Keep track of the progress towards registration;
- Coordinate of all aspects of cross-border registration with service provider for Europe and independently for Asia and Latin America
- Liaising with external advisors;
- Ensure availability of fund legal documents on the country websites. - Custodian and Listing agent relationship:
- Liaise with all relevant parties;
- Ensure all relevant documentation is made available. - Annual and Semi-annual reports:
- Ensure timely appropriate governance approvals;
- Ensure timely legal and regulatory filing. - Provide support for incorporation, liquidation and mergers of funds, and for any corporate action on sub-funds and share classes.
- General company secretarial housekeeping including maintaining and filing all statutory company registers and documents.

Risk. Role holder will assure him/herself of adequacy of systems and controls for mitigating the risks in all responsibilities.

Systems. Role holder will undertake a regular review of the systems and controls in their function and ensure recommendations for improvement are implemented.

CAPABILITIES: QUALIFICATIONS, SKILLS, EXPERIENCE
Skills/Knowledge

Detailed knowledge of corporate secretary;

Detailed knowledge of Luxembourg corporate law

Analytical, problem solving , business analysis skills;

An overview of the legal practices in different countries;

Qualifications

University Degree, Bac+4 in law
-
Excellent handling of MS Office applications

Fluent written and spoken English, any additional language is an asset.

Experience in the Fund Industry with a Management Company or a law firm.
